Baby Cord Link (BCL) Sales Agent Training and Certification Terms and Conditions

Introduction These Terms and Conditions (“Agreement”) govern the relationship between Baby Cord Link (“BCL”), located at 7857 Florence Ave, #109, Downey, CA 90240, and individuals (“Sales Agents”), including but not limited to Doctors, Influencers, and Sub-Sales Agents, who register for training and certification to promote and sell services on behalf of Cord For Life (“CFL”), located at 207 Northlake Blvd., Suite 1012, Altamonte Springs, FL 32701.

Encouragement to Review Cord For Life Terms & Conditions Sales Agents are strongly encouraged to read and familiarize themselves with Cord For Life’s Terms and Conditions, as they may provide additional guidance and requirements relevant to their role.

Independent Contractor Relationship
- 3.1. BCL and CFL are not employers of any Sales Agent. All Sales Agents operate as independent contractors.
- 3.2. As independent contractors, Sales Agents are required to submit a completed IRS Form W-9 and will receive payments in the form of IRS Form 1099 for tax purposes.

Eligibility and Registration
- 4.1. Prospective Sales Agents must complete the registration process, providing accurate and complete information.
- 4.2. BCL reserves the right to verify the information provided and to accept or reject any registration at their sole discretion.

Training and Certification
- 5.1. Upon acceptance, Sales Agents must attend and successfully complete the designated training program.
- 5.2. Certification will be granted upon successful completion of the training, and a unique Sales Agent Code will be issued.
- 5.3. The Sales Agent Code is personal and non-transferable and must be used to track sales.

Sales Agent Responsibilities
- 6.1. Sales Agents must professionally and ethically represent BCL and CFL.
- 6.2. Sales Agents are required to use only approved marketing materials and to follow all guidelines provided by BCL and CFL.
- 6.3. Sales Agents may not make unauthorized claims or warranties beyond those provided by the companies.

Commissions and Payments
- 7.1. Commissions will be paid based on completed sales attributed to the Sales Agent’s unique Sales Agent Code.
- 7.2. Payment schedules and methods will be specified by BCL.
- 7.3. Sales Agents are solely responsible for their own tax reporting and compliance as independent contractors.

Confidentiality
- 8.1. Sales Agents must maintain the confidentiality of all proprietary information obtained during the course of their engagement.
- 8.2. This obligation extends beyond the termination of the Sales Agent’s relationship with BCL.

Compliance with Laws Sales Agents must comply with all applicable federal, state, and local laws and regulations while performing their duties.

Termination

10.1. BCL reserves the right to terminate a Sales Agent’s certification and agreement at any time, with or without cause.

10.2. Upon termination, the Sales Agent must immediately cease all representations and return any proprietary materials.

Amendments

11.1. BCL may amend these Terms and Conditions at any time.

11.2. Sales Agents will be notified of any changes, and continued participation constitutes acceptance of the amended terms.

Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of California.

Entire Agreement This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral.

By registering for the Sales Agent training and certification program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
